                                 ORDER
 
        This protest  was  filed by  Innovative Technology  Systems,
   Inc. (ITS),  on December  14, 1994.   It concerns  agency actions
   taken  under   a  solicitation  for   automatic  data  processing
   equipment by the Department of the Navy.
 
        On December  19, 1994, protester  advised the Board  that it
   had agreed to a settlement with respondent and that  it wishes to
   withdraw this protest with prejudice.
 
        Accordingly, this protest is DISMISSED WITH PREJUDICE.  Rule
   28(a).
