                                 ORDER
 
        This protest  was filed on  March 24, 1994.   The Government
   has now withdrawn the challenged  acquisition and will transmit a
   notice so stating to the Commerce Business Daily.  Respondent has
   moved to  dismiss this protest  without prejudice.   The  parties
   have agreed  that  10  working  days  after  publication  of  the
   withdrawal notice, this  dismissal shall become a  dismissal with
   prejudice.  Intervenor has no objection.
 
        Accordingly,  this  protest is  DISMISSED  WITHOUT PREJUDICE
   under the terms stated.
