                                 ORDER
 
        On  April 9,  1996,  appellant filed  this  appeal from  the
   contracting officer's  decision terminating  appellant's contract
   for default.  The  Board convened a conference  call on June  13,
   1996,  and  explored  the possibilities  of  settlement  with the
   parties.  On August 6, 1996, the parties submitted a joint motion
   to dismiss this  appeal with prejudice.  Pursuant  to Rule 28(a),
   this appeal is DISMISSED.
