                                 ORDER
 
        On October  20, 1994,  Microform Inc. (Microform),  appealed
   the  July 22,  1994  final decision  of  the contracting  officer
   concerning   incorrect   billing    regarding   contract   number
   GS00K89AFC2560  for  computer  output  microfilming  service  and
   conversion of magnetic tape.
 
        On  August 21,  1995, the  parties filed  a joint  motion to
   dismiss with prejudice.
 
        Accordingly,  this appeal is DISMISSED WITH PREJUDICE.  Rule
